These Terms of Service ("Terms") govern your use of the website and services provided byPayment USA LLC ("Payment USA," "we," "us," or "our"), including AI Studio. By using our website or services, you agree to these Terms.

Our services

AI Studio provides website design and hosting, appointment booking, automated text messaging, website chat, and review request tools for local businesses. The specific services you receive, and their pricing, are set out in the agreement or order confirmation between you and Payment USA.

Text messaging terms

• By providing your mobile number and checking the consent box, you agree to receive automated text messages from Payment USA LLC at that number.
• Consent is not a condition of purchase of any goods or services.
• You confirm that you are the account holder for the mobile number provided, or that you have the account holder's permission to use it.
• You agree to notify us if you stop using that mobile number.
• Supported carriers may change. Carriers are not liable for delayed or undelivered messages.
• Mobile numbers and consent data are never shared with third parties for marketing purposes. See our Privacy Policy.

Acceptable use

You agree not to:

• Use our services for any unlawful, deceptive, or fraudulent purpose
• Send messages to anyone who has not given you the required consent
• Attempt to gain unauthorized access to our systems or another user's account
• Interfere with, disrupt, or place undue load on our services
• Reverse engineer, resell, or sublicense our services without written permission

If you use our tools to message your own customers, you are responsible for obtaining and retaining valid consent from those customers, and for complying with the Telephone Consumer Protection Act (TCPA), CAN-SPAM, and applicable carrier requirements.

Fees and payment

Fees, billing frequency, and any usage-based charges are set out in your agreement or order confirmation. Unless stated otherwise, fees are billed in advance and are non-refundable for the period already served. We may change pricing on notice for future billing periods.

Intellectual property

We retain ownership of our software, templates, and platform. You retain ownership of your business content, including your logo, copy, photographs, and customer data. You grant us the limited license needed to host and operate the services on your behalf.

Third-party services

Our services rely on third parties, including hosting, messaging, and search providers. We are not responsible for the availability, accuracy, or policies of those third parties.

Disclaimers

Our services are provided "as is" and "as available," without warranties of any kind, express or implied, to the fullest extent permitted by law. We do not guarantee any specific search ranking, performance score, call volume, booking volume, review count, or revenue outcome.

Limitation of liability

To the fullest extent permitted by law, Payment USA is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunity. Our total liability for any claim relating to the services is limited to the amount you paid us for the services in the three months preceding the claim.

Termination

Either party may terminate services as described in your agreement. We may suspend or terminate access immediately if these Terms are violated or if required by law or a carrier.

Governing law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law rules. Venue for any dispute lies in Tarrant County, Texas.

Changes to these Terms

We may update these Terms from time to time. The "last updated" date above reflects the most recent version. Continued use of the services after a change constitutes acceptance.
